General Terms and Conditions of Sale – SIOOU
These terms and conditions of sale are entered into, on the one hand, by the company Sioou, whose registered office is located in CALUIRE (69300), registered with the Lyon Trade and Companies Register under number 793 736 158 00015, hereinafter referred to as "Sioou", and on the other hand, by any individual or legal entity wishing to make a purchase via Sioou's website, hereinafter referred to as "the buyer".
I. Purpose
These terms and conditions of sale are intended to define the contractual relationship between Sioou and the buyer, as well as the conditions applicable to any purchase made through Sioou’s online store, whether the buyer is a professional or a consumer. The purchase of a product or service through this website implies the buyer’s full and unconditional acceptance of these terms and conditions of sale. These terms and conditions shall take precedence over any other general or specific terms not expressly approved by Sioou. Sioou reserves the right to modify its terms and conditions of sale at any time. In such cases, the applicable terms will be those in force on the date the order is placed by the buyer.
II. Characteristics of the Goods and Services Offered
The products and services offered are those listed in the catalog published on the Sioou website. These products and services are available while stocks last. The photographs in the catalog are as accurate as possible but cannot guarantee a perfect likeness to the actual product, particularly with regard to colors.
III. Prices
The prices listed in the catalog are VAT-inclusive prices in euros, reflecting the VAT rate applicable on the day of the order; any change in the VAT rate may be passed on to the price of products or services. Sioou reserves the right to modify its prices at any time; however, it is understood that the price listed in the catalog on the day of the order will be the only price applicable to the buyer. The prices indicated at the end of the ordering process include order processing, shipping, and delivery fees.
IV. Orders
The buyer who wishes to purchase a product or service must: – complete the identification form by providing all requested contact details or provide their client number if applicable; – fill out the online order form by specifying all references of the chosen products or services; – validate their order after reviewing it; – make payment under the specified conditions; – confirm their order and payment. Order confirmation implies acceptance of these terms and conditions of sale, acknowledgment of having full knowledge of them, and waiver of any conflicting purchase conditions or other terms. All provided data and the recorded confirmation will serve as proof of the transaction. The confirmation shall be considered as signature and acceptance of the executed operations. The seller will send an order confirmation by email.
V. Right of Withdrawal
Buyers who are individual consumers (non-professionals) benefit from a withdrawal period of fourteen days from the date of delivery of their order to return the product — unused — to the seller for exchange or refund without penalty, except for return shipping costs.
VI. Payment Terms
Payment is due at the time of order. Payments may be made via PayPal, bank transfer, or check. An invoice will be issued to the buyer upon request.
VII. Deliveries
Deliveries are made to the address provided on the order form. Risk is transferred to the buyer once the products have left Sioou's premises. In the event of damage or loss during transport, a formal claim must be submitted to the carrier within three days of delivery. Delivery times are provided for informational purposes only; if delivery exceeds thirty days from the date of order, the sales contract may be canceled and the buyer refunded.
VIII. Warranty
All products supplied by the seller are covered by the legal warranty provided under Articles 1641 and following of the French Civil Code. In the event of non-compliance of a sold product, it may be returned to the seller, who will take it back, exchange it, or refund it. All claims, requests for exchange, or refund must be made by postal mail to the following address: SIOOU SAS, 306 Avenue Elie Vignal, 69300 Caluire, FRANCE, within thirty days of delivery.
IX. Liability
The seller, in the process of online sales, is bound only by an obligation of means; their liability cannot be held for any damages resulting from the use of the Internet, such as data loss, intrusion, viruses, service interruptions, or other unintended issues.
X. Intellectual Property
All elements of the Sioou website remain the intellectual and exclusive property of Sioou. No one is authorized to reproduce, exploit, redistribute, or use any part of the site—whether software, visual, or audio elements—for any purpose, even partially. Any simple or hypertext link is strictly prohibited without the express written consent of Sioou.
XI. Personal Data
In accordance with the French Data Protection Act of January 6, 1978, personal information relating to buyers may be subject to automated processing. Sioou reserves the right to collect information about buyers, including through the use of cookies, and, if desired, to share the collected information with commercial partners. Buyers may object to the disclosure of their contact details by notifying Sioou. Likewise, users have the right to access and correct their personal data, in accordance with the law of January 6, 1978.
XII. Archiving – Evidence
Sioou will archive order forms and invoices on a reliable and durable medium constituting a faithful copy, in accordance with the provisions of Article 1348 of the Civil Code. Sioou’s computerized records shall be considered by the parties as evidence of communications, orders, payments, and transactions between the parties.
XIII. Dispute Resolution
These online terms and conditions of sale are governed by French law. In case of dispute, jurisdiction is granted to the competent courts of Lyon, notwithstanding multiple defendants or third-party claims.
